LEVI’S®RED TAB™ MEMBER PROGRAM TERMS AND CONDITIONS (THE “PROGRAM”)

SECTION 1. OVERVIEW

These Program Terms and Conditions (“Terms”), along with the Levi Strauss (Australia) Pty Ltd (“LS&Co.”) Terms of Use and Privacy Policy constitute an agreement between you and LS&Co. relating to your participation in the Program (“Agreement”). Please read these Terms carefully because they affect your legal rights. Upon enrollment in the Program, you become a "Member" and will receive access to certain benefits at qualifying Levi’s® store locations, or online at www.levis.com.au in Australia (“Membership”). The LS&Co. Terms of Use and Privacy Policy govern participation in the Program and LS&Co.’s use of personal information provided under the Program. In the event of a conflict between these Terms and the Terms of Use and/or the Privacy Policy, these Terms will prevail. By participating in the Program, Members will be deemed to have agreed to these Terms If you do not agree with these Terms, do not participate in the Program.

SECTION 2. ELIGIBILITY

To participate in the Program, Members must be at least 18 years of age. If you are under 18 years of age, you may only participate in the Program under the supervision of a parent or legal guardian who agrees to be bound by these Terms. LS&Co. may change these eligibility requirements at any time, with or without notice, and reserves the right to refuse Membership to any applicant for any reason, in its sole discretion (acting reasonably).

SECTION 3. HOW TO ENROLL

Enrollment in the Program is free and optional by providing the required information online at www.levis.com.au. Enrollment may also include an optional questionnaire. Upon registering for the Program, Members will receive an email confirming their Membership. You represent that all information you provide during registration and throughout your participation in the Program is true and accurate, and you agree to update such information, as necessary to maintain its truth and accuracy.

SECTION 4. EARNING AND REDEMPTION OF POINTS

Upon enrollment, Members will immediately be eligible for the following benefits, which are all subject to change at any time, and may immediately terminate upon Member’s disqualification from or voluntary removal from the Program:

 
  1. Points Redemption Program

    The Levi’s® Red Tab™ points redemption Program allows Members to earn and redeem reward Points, in accordance with these Terms.

     
    • How to Earn Reward Points (“Points”)

      Members can earn at least 1 Point for every AUD 1 spent when making purchase(s) in Australia in Levi’s® Stores and online at www.levis.com.au (together, the “Participating Retail and Online Stores”). For the avoidance of doubt, Participating Retail and Online Stores exclude Levi’s® Outlet Stores and Levi’s® Pop-up Outlet Stores. Members start earning Points from a minimum spend of AUD 1, rounding down to the nearest point issued. Points are earned on the net amount paid after application of discounts, Points and gift vouchers. “Gift voucher” means a voucher gifted to customers of LS&Co. free of charge, from time to time.

      Members will not be eligible to earn Points on any purchase of Gift Cards. However, the amount paid using Gift Cards is eligible to earn Points. “Gift Cards” means stored-value cards with prepaid money that may be applied to future purchases within its validity period.

      To earn Points when making purchases from www.levis.com.au, Members must login to their member account before making any purchase. Members who make a purchase at physical Levi’s ® Stores can verify their membership by providing their email address and/or mobile phone number connected to their membership account. Points earned will be reflected in the Member’s account portal on www.levis.com.au. Please note that it takes up to 2 days after you receive your purchase for Points earned to be credited to the Member’s account.

    • Redeeming Reward Points

      In order to redeem Points, a minimum purchase value of AUD100 per transaction applies. 100 Points is equivalent to AUD 5 in value and can be used to offset your future purchases at Participating Retail and Online Stores. The Points can be applied to offset your net purchase price (including GST) that meets the minimum purchase value (excluding shipping fees). If you choose to use your Points to offset your purchase price, the system will automatically apply the maximum number of Points redeemable (in blocks of 100 Points) to offset your purchase price.

      Points cannot be transferred to another person or account or exchanged for cash. A minimum of 100 points are required for redemption at Participating Retail and Online Stores to offset your purchases. Points cannot be used in combination with birthday voucher and/or other Members benefits for any purchases. Points have a validity of 12 months from the date of accrual. If for any reason you believe that there is a discrepancy regarding your Points balance, please contact us via email at customercare@levis.com.au.

      A purchase made wholly or partly using Points may be returned for a refund in accordance with our returns policy (link). The Points portion of the purchase will be refunded in the form of Points, which may be used within the Points’ original validity period.

      LS&Co. reserves the right to exclude certain items from this Program. Acting reasonably, LS&Co. may change the scope, variety, and type of services and products that Members may obtain by using Points at any time.

    SECTION 5. MEMBER TIER BENEFITS

    There are three membership tiers available, depending on the amount a Member spends in a membership year. Please refer to the table and provisions below for further details on the benefits attached to each tier.

    * Points have to be redeemed in blocks of 100 points. AUD100 minimum spend applies. Points, discount and/or vouchers cannot be redeemed within the same transaction .
    Birthday Voucher

    *Awarded once per calendar year during the Member’s birthday month. Voucher must be used within 1 month of the date of issue. Minimum spend of $100 applies when using the voucher.

    1. No Stacking of Members Benefits. Point redemption and birthday voucher cannot be applied at the same time in a transaction. Members may choose to use only one of these Members benefits to offset or reduce the purchase price.
    2. Participating Retail and Online Stores. All transactions referred to in the above table are limited to those made in a Participating Retail and Online Stores.
    3. Membership Tier and Membership Year. For the purposes of qualifying for a Membership tier upgrade, the Member must meet the relevant qualifying spend in a 12-month period.
      1. For the purposes of maintaining a Silver or Gold Membership tier, the Member must meet the relevant qualifying spend within a 12-month period from the date they qualified for that tier (“Membership Year”). Where a Gold Member fails to meet the relevant qualifying spend during the Membership Year to maintain Gold tier, then depending on the amount spent during the previous Membership Year, the Gold Member may be downgraded to either Silver or Blue tier, in accordance with the relevant qualifying spend required for those tiers.
      2. A Member may qualify for multiple Membership tier upgrades within a 12-month period if they make the relevant qualifying spend within those 12 months. (For example, a Member may qualify for a Silver tier upgrade by spending AUD 200 and then qualify for a Gold tier upgrade by spending a further amount of AUD 250 within the same 12 month period. The Membership Year will then restart from the date the Member qualifies for Gold tier.)
      3. The Silver and Gold Membership tier status each lasts for one Membership Year.
      4. All purchases that are returned for a refund will not be counted towards that Member’s qualifying spend.
    4. VIP Events. Silver and Gold tier Members may receive invitations to exclusive VIP events from LS&Co from time to time at its discretion and on such terms as it sees fit. All scheduled events may be canceled or postponed and LS&Co. reserves the right to cancel or postpone scheduled events without prior notice to Members.
    5. Alteration and Customisation Surprise. Gold Tier Members may access complimentary alteration and customisation services as may be offered by LS&Co from time to time at its discretion and on such terms as it sees fit.

SECTION 6. GENERAL TERMS OF PROGRAM

There is a limit of one (1) Membership per person. If there is a dispute regarding ownership of the Membership, the owner will be deemed to be the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organisation (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Each Member is responsible for providing a correct email address, as well as updating his/her email address as necessary for use in connection with the Program.

LS&Co. will send Program-related emails, including but not limited to the following: welcome emails; recurring Membership status statements, and Program updates. To stop receiving these emails, Member must cancel his/her Membership. LS&Co. may also send Program-related notifications via SMS. Member may opt out of receiving SMS without cancelling the membership. These emails will be in addition to any Program marketing or brand marketing emails Members may have subscribed to receive.

By signing up for the Program, Members consent to receiving brand and Program marketing communications, including emails and SMS messages. To stop receiving brand and Program marketing communications, Members must click on the self-service unsubscribe link found in the footer of any brand or Program marketing email, follow the unsubscribe instructions in the SMS, or follow the instructions listed in the Privacy Policy. Members can opt out of receiving marketing emails and/or SMS messages without needing to cancel the Membership. To cancel a Membership, or for any other Program-related questions, please contact Customer Service at customercare@levis.com.au.

Please note our Customer Service hours of operation are Monday to Friday, 9am – 5pm (AEST), Customer Service is unavailable on Saturdays, Sundays, and on public holidays.

A Member is not required to make purchases to qualify for the Program. LS&Co. reserves the right, in its sole discretion and acting reasonably, to prevent any individual from enrolling in the Program or to suspend and/or remove any Member from the Program for any reason, including suspected re-sellers and/or wholesales, or in the event of any suspected fraud, abuse, or misuse in connection with this Program. LS&Co. reserves the right, acting reasonably, to change, suspend, or terminate the Program or to vary any of its associated Terms at any time and in any manner. You will be notified of a change to these Terms by email to the account linked to your Membership. Any subsequent Terms supersede prior versions. By continuing to participate in the Program, Members will be deemed to have accepted of any changes to these Terms.

SECTION 6. NO WARRANTY

To the extent permitted by law, LS&Co. its respective subsidiaries, divisions, and affiliate entities, along with each such company’s respective officers, directors, employees, and agents make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the Program or any products or services related to the Program or that operation of the Program will be uninterrupted. Members are solely responsible for any damage or injury resulting from their participation in the Program and/or redemption of any promotion.

SECTION 7. RELEASE OF LIABILITY

By agreeing to participate in the Program, Members release LS&Co., its parent and subsidiaries and affiliate entities, and their respective directors, officers, employees and agents (the “Released Parties”) from all liability with respect to the Program or the misdirection or misuse of any promotion. By participating in the Program, Members hereby release the Released Parties from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, solicitor’s fees) relating to participation in the Program, use of the Program and its benefits, or agreement to these Terms, except where such claims, damages, losses, liabilities and other expenses arise from the mistake, error, fraud, negligence, or willful misconduct of the Released Parties

SECTION 8. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT

Any failure by us to partially or fully exercise any rights or the waiver of any breach of the Terms, shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach of the same or any other term of the Terms. Our rights and remedies under the Terms shall be cumulative, and the exercise of any such right or remedy shall not limit our right to exercise any other right or remedy.

In the event of any controversy or dispute between us and a Member arising out of or in connection with a Member’s participation in the Program, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law in the courts or tribunals of that state where our office is located. Members should contact Customer Service in the first instance in relation to any complaints.

SECTION 9. TERMINATION

You may terminate this Agreement at any time by canceling your Membership. LS&Co. also may terminate this Agreement at any time without notice, and accordingly may deny you access to the Program, if in its sole judgment, acting reasonably, you fail to comply with any term or provision of the Agreement. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.

Updates to the Terms. We can update these terms at any time without prior notice in our sole discretion. If we vary these terms, we will notify Members of the variation via www.levis.com.au and by email. Such variations will be effective upon publication of notice. Continued participation of Members in the Program after any variation shall constitute consent to such

SECTION 10. GENERAL

This Agreement shall be governed by the laws of the State of Victoria, Australia. The waiver of any provision of the Agreement shall not be considered a waiver of any other provision or of LS&Co.’s right to require strict observance of each of the Terms herein. If any provision of the Agreement is found to be unenforceable or invalid for any reason by any court of competent jurisdiction, that provision shall be severable, and all other provisions shall remain in full force and effect.
